1. Agreement to These Terms
These Terms of Service ("Terms") govern your access to and use of the website located at vexyr.io, including its pages, forms, content, demonstrations, scheduling features, AI-powered tools, and other functionality that links to these Terms (collectively, the "Website").
These Terms also apply to preliminary interactions with Vexyr LLC ("Vexyr," "we," "us," or "our"), including live demonstrations, AI Strategy Calls, purchase consultations, proposals, and communications concerning our services.
By accessing or using the Website, submitting a form, requesting a demonstration, scheduling a consultation, or otherwise interacting with the Website, you agree to these Terms.
If you do not agree to these Terms, you should not use the Website.
If you use the Website on behalf of a company, organization, or other legal entity, you represent that you have authority to accept these Terms on its behalf. In that case, "you" and "your" refer to both you and that entity.
2. About Vexyr
Vexyr is a Colorado-based provider of AI, technology, and professional services for businesses.
Our services may include:
- AI strategy and implementation consulting
- AI phone assistants
- AI chat assistants
- Appointment-booking and lead-capture solutions
- Customer-support automation
- Employee-support assistants
- Knowledge-base solutions
- Workflow automation and integration assistance
- Website design and development
- Website hosting coordination
- Website maintenance and optimization
- Business software integrations
- Related implementation, training, advisory, and support services
The availability, scope, functionality, pricing, and terms of these services may change over time.
3. Website Terms and Customer Agreements
These Terms primarily govern use of the Website and pre-purchase interactions with Vexyr.
The purchase and delivery of paid services may be governed by one or more additional documents, such as:
- A Master Services Agreement
- Service Agreement
- Proposal
- Order Form
- Statement of Work
- Subscription confirmation
- Implementation plan
- Data-processing agreement
- Business associate agreement, where applicable
- Other written agreement accepted by Vexyr and the customer
Collectively, these documents are referred to in these Terms as a "Customer Agreement."
If there is a conflict between these Terms and a Customer Agreement, the Customer Agreement will control with respect to the paid services covered by that agreement.
Information on the Website, including service descriptions, features, estimated outcomes, pricing, conversation limits, implementation timelines, or illustrations, does not replace a Customer Agreement and does not create a binding obligation unless expressly included in an accepted Customer Agreement.
4. Eligibility and Business Use
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Website.
The Website and Vexyr's services are intended primarily for businesses and authorized business representatives. They are not designed for personal, family, or household use unless Vexyr expressly agrees otherwise in writing.
You may not use the Website if:
- You are legally prohibited from receiving the services;
- You lack authority to act for the business you represent;
- Your use would violate applicable law; or
- Vexyr has previously suspended or prohibited your access.
5. Informational Content
Website content is provided for general business and informational purposes.
Nothing on the Website constitutes:
- Legal advice
- Tax advice
- Accounting advice
- Financial advice
- Medical advice
- Employment-law advice
- Cybersecurity certification
- A promise of regulatory compliance
- A guarantee that AI is appropriate for your business
- A guarantee of a particular business result
You should obtain advice from appropriately qualified professionals concerning legal, regulatory, financial, tax, medical, employment, privacy, security, or industry-specific matters.
Vexyr may help customers consider practical operational and technology options, but customers remain responsible for determining whether a proposed solution is suitable and legally permissible for their business.
6. Demonstrations and Trial Experiences
Vexyr may provide live, recorded, simulated, sample, or interactive demonstrations of AI voice assistants, AI chat assistants, website features, workflows, or other services.
Demonstrations are provided for evaluation and illustrative purposes only. Unless Vexyr expressly states otherwise:
- A demonstration is not a production service;
- Demonstration businesses, names, conversations, metrics, and scenarios may be fictional or illustrative;
- Demonstration functionality may differ from a final customer implementation;
- Demonstrations may have limited availability, usage, duration, or functionality;
- Demonstration responses may contain errors or incomplete information;
- Information submitted during a demonstration should not include sensitive, confidential, regulated, or highly personal information; and
- Access to a demonstration does not create a customer relationship or guarantee service availability.
Vexyr may limit the number of demonstrations available to a person, browser, device, telephone number, email address, network, or other identifier. We may use security and fraud-prevention tools to detect repeated, automated, abusive, or unauthorized use.
We may suspend, reset, restrict, or discontinue a demonstration at any time.
7. Forms, Consultations, and Lead Follow-Up
The Website may allow you to:
- Request a live demonstration;
- Schedule an AI Strategy Call;
- Request a purchase consultation;
- Ask a question;
- Request pricing;
- Submit a contact form;
- Schedule a meeting; or
- Express interest in Vexyr's services.
You agree that the information you provide will be accurate, current, and submitted by you or with proper authorization.
When you submit contact information in connection with a demonstration, consultation, purchase inquiry, or other service request, Vexyr may use that information to:
- Respond to your request;
- Provide the requested demonstration or information;
- Schedule or confirm a meeting;
- Send appointment reminders;
- Answer questions;
- Follow up regarding your interest;
- Discuss potentially relevant Vexyr services;
- Provide proposals, pricing, or agreements;
- Assist with purchasing or onboarding; and
- Maintain records of the interaction.
Submitting a form does not require Vexyr to accept you as a customer, provide a proposal, reserve capacity, or deliver services.
8. Email, Telephone, and SMS Communications
By providing your email address or telephone number, you authorize Vexyr to contact you concerning the specific inquiry, demonstration, meeting, purchase process, customer relationship, or service you requested.
Communications may include:
- Responses to inquiries
- Scheduling messages
- Meeting confirmations
- Appointment reminders
- Proposal or pricing follow-ups
- Agreement and payment instructions
- Onboarding information
- Implementation updates
- Support messages
- Service notices
- Permitted marketing communications
Consent to receive promotional communications is not a condition of purchasing services unless expressly stated otherwise and permitted by law.
You may unsubscribe from promotional emails using the unsubscribe mechanism included in the message.
Where SMS functionality is offered, you may opt out of nonessential SMS messages by replying STOP or following the instructions provided in the message. Message and data rates may apply. Message frequency may vary.
Opting out of promotional messages will not prevent Vexyr from sending essential transactional or service-related communications where legally permitted.
You represent that you are authorized to provide any telephone number or email address submitted to Vexyr.
9. AI-Generated Information and AI Limitations
Vexyr's Website, demonstrations, and services may use artificial intelligence, machine learning, automated decision rules, language models, voice technologies, transcription systems, or other automated tools.
AI systems are probabilistic and may produce content that is inaccurate, incomplete, outdated, misleading, inconsistent, or unsuitable for a particular purpose.
AI-generated output may:
- Misunderstand a question or instruction;
- Mishear names, telephone numbers, addresses, dates, or other information;
- Generate incorrect statements;
- Fail to recognize urgency;
- Omit relevant context;
- Provide an inappropriate recommendation;
- Experience latency or interruptions;
- Be affected by background noise, accents, unclear speech, or technical conditions; or
- Behave differently from a human employee.
AI-generated information should not be treated as independently verified or relied upon for high-risk decisions without appropriate human review.
You are responsible for establishing suitable human oversight, escalation rules, review processes, disclosures, and operational controls for your use of AI.
10. No Emergency, Medical, Legal, or High-Risk Use
Unless expressly authorized in a Customer Agreement, Vexyr's Website, demonstrations, and AI services are not designed to:
- Contact emergency services;
- Replace 911 or another emergency-response system;
- Diagnose or treat medical conditions;
- Provide legal advice;
- Make employment, lending, housing, insurance, healthcare, or other high-impact eligibility decisions;
- Provide safety-critical instructions;
- Operate life-support or critical infrastructure;
- Handle regulated data requiring specialized safeguards; or
- Serve as the sole channel for urgent or time-sensitive communications.
You must not represent a Vexyr AI assistant as an emergency service or use it as the only means of handling situations involving imminent harm, medical emergencies, fires, hazardous conditions, crimes in progress, or other urgent events.
10.1 Prohibited Content / Restrictions on Use
Vexyr's AI tools and services are strictly designed for scheduling and operations within the home services, automotive repair, and sports industries. Vexyr does not provide healthcare services and is not a HIPAA-covered entity. Users are strictly prohibited from transmitting, speaking, or typing any health-related information, medical histories, symptoms, or protected health data into our AI agents or chat interfaces.
10.2 Unsolicited Information & Waiver
If a user chooses to voluntarily share health-related or sensitive personal data without a direct request from Vexyr, the user acknowledges that Vexyr has no obligation to monitor, protect, or classify this data as medical or privileged information. To the maximum extent permitted by law, the user waives any claims against Vexyr regarding the processing, storage, or accidental retention of such unsolicited data.
11. Call Recording and Transcription
Voice calls, AI interactions, meetings, or customer-support conversations may be recorded or transcribed when enabled and legally permitted.
Where legally required, Vexyr or the applicable customer will provide notice or obtain consent before recording.
Customers using Vexyr services are responsible for:
- Determining whether recording is lawful in each applicable jurisdiction;
- Providing required notices;
- Obtaining required consent;
- Configuring recording features appropriately;
- Restricting access to recordings and transcripts; and
- Establishing suitable retention and deletion practices.
The allocation of responsibility for production call recordings may be addressed further in the applicable Customer Agreement.
12. Customer Responsibilities
Customers and prospective customers are responsible for providing complete and accurate information needed to evaluate, configure, test, and deliver services.
Depending on the engagement, customer responsibilities may include:
- Providing accurate business information;
- Identifying authorized contacts;
- Supplying business hours, service areas, policies, pricing, and scheduling rules;
- Providing approved scripts, frequently asked questions, and escalation instructions;
- Reviewing AI responses and workflows;
- Testing the service before launch;
- Approving configurations and content;
- Maintaining accurate calendars and software records;
- Obtaining licenses, permissions, and consents;
- Informing Vexyr of operational changes;
- Protecting credentials and access links;
- Reviewing leads, appointments, messages, and transferred calls;
- Training employees on appropriate use;
- Maintaining suitable human backup;
- Complying with industry-specific requirements; and
- Promptly reporting errors, misuse, or security concerns.
Vexyr is not responsible for problems caused by inaccurate, incomplete, outdated, or unauthorized information supplied by a customer or its representatives.
13. Third-Party Services and Integrations
Vexyr may use or integrate with third-party software, infrastructure, communication systems, APIs, AI models, telephony services, scheduling platforms, payment processors, automation tools, hosting services, analytics providers, customer-management systems, or other technologies.
Examples may include:
- AI model and voice providers
- Autocalls.ai
- Retell AI
- Twilio
- ElevenLabs
- Google Workspace
- Google Calendar
- Cal.com
- Cloudflare
- Supabase
- Make.com
- n8n
- Stripe
- Electronic-signature providers
- Field-service management systems
- Customer relationship management platforms
- Website hosting and deployment services
This list is illustrative and may change.
Third-party services are governed by their own terms, privacy policies, availability, limitations, and security practices.
Vexyr does not control and is not responsible for:
- Third-party outages;
- Changes to third-party features or pricing;
- API restrictions;
- Account suspension by another provider;
- Third-party data loss;
- Third-party processing practices;
- Internet or telecommunications failures; or
- Compatibility problems caused by systems outside Vexyr's reasonable control.
A third-party integration may require you to maintain your own account, subscription, license, API access, or contractual relationship with the provider.
Vexyr may replace or modify a third-party provider where reasonably necessary to continue delivering services.
14. Website Development and Maintenance Services
Where Vexyr provides website design, development, deployment, hosting coordination, maintenance, or optimization, the scope of work will be defined in the applicable Customer Agreement.
Unless specifically included in writing, website services do not include:
- Unlimited design revisions;
- Custom software development;
- Legal or regulatory review;
- Accessibility certification;
- Search-engine ranking guarantees;
- Advertising management;
- Content creation;
- Photography or video production;
- Domain ownership;
- Third-party subscription charges;
- Security penetration testing;
- Continuous monitoring;
- Disaster-recovery guarantees; or
- Support for every browser, device, plugin, or third-party platform.
Customers are responsible for reviewing and approving website content before publication, including claims, pricing, intellectual property, disclaimers, privacy notices, accessibility needs, and industry-specific disclosures.
Website maintenance reduces certain operational risks but cannot eliminate security vulnerabilities, incompatibilities, outages, or malicious attacks.
15. Intellectual Property
15.1 Vexyr Materials
The Website and its contents—including text, graphics, branding, logos, layouts, designs, demonstration experiences, software, workflows, templates, documentation, prompts, configuration methods, and other materials—are owned by Vexyr or its licensors and are protected by intellectual-property laws.
Except as expressly permitted in writing, you may not:
- Copy or reproduce Vexyr materials;
- Modify or create derivative works;
- Sell, license, distribute, or commercially exploit them;
- Remove copyright or proprietary notices;
- Scrape or systematically extract Website content;
- Reverse engineer demonstrations or software;
- Use Vexyr branding without permission; or
- Use Vexyr materials to train or develop a competing product or service.
Vexyr grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Website for legitimate business evaluation and interaction with Vexyr.
15.2 Customer Materials
You retain ownership of content, documents, data, trademarks, recordings, business information, and other materials that you provide to Vexyr ("Customer Materials").
You grant Vexyr and its service providers a limited right to access, copy, process, transmit, display, modify, and use Customer Materials as reasonably necessary to:
- Evaluate your request;
- Provide demonstrations;
- Configure and deliver services;
- Provide support;
- Maintain security;
- Troubleshoot problems; and
- Comply with legal obligations.
You represent that you possess all rights and permissions necessary for Vexyr to use the Customer Materials as contemplated by the engagement.
15.3 Project Deliverables
Ownership of custom websites, configurations, deliverables, source materials, templates, prompts, code, or other work product created during a paid engagement will be governed by the applicable Customer Agreement.
Unless the Customer Agreement states otherwise:
- The customer's ownership rights in specifically commissioned final deliverables arise only after full payment;
- Vexyr retains ownership of its preexisting tools, processes, templates, know-how, reusable components, generalized skills, and underlying technology;
- Third-party materials remain subject to their applicable licenses; and
- Vexyr may reuse generalized knowledge, ideas, methods, and nonconfidential experience developed during an engagement.
16. Feedback
If you provide ideas, recommendations, suggestions, feature requests, or other feedback concerning Vexyr's Website or services, you grant Vexyr a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation.
This provision does not authorize Vexyr to publicly disclose your confidential information.
17. Confidentiality
Confidentiality obligations relating to paid services will be governed by the applicable Customer Agreement.
Before a Customer Agreement is signed, you should not submit highly confidential, proprietary, regulated, or sensitive information through public Website forms or demonstrations.
Vexyr will use reasonable care in handling nonpublic business information you provide, but ordinary inquiries, public forms, and exploratory consultations should not be treated as secure channels for trade secrets or regulated data unless Vexyr expressly agrees otherwise in writing.
18. Privacy
Vexyr's collection and use of personal information is described in its Privacy Policy and Cookie Policy.
By using the Website, you acknowledge that information may be processed by Vexyr and its service providers as described in those policies.
You should review:
- The Vexyr Privacy Policy;
- The Vexyr Cookie Policy; and
- Any privacy notice or consent language displayed with a form, demonstration, recording, or communication feature.
19. Acceptable Use
You may use the Website and Vexyr services only for lawful, authorized business purposes.
You may not use them to:
- Violate any law or regulation;
- Commit fraud or impersonate another person;
- Harass, threaten, exploit, or harm others;
- Transmit unlawful, defamatory, or deceptive content;
- Conduct unauthorized telemarketing or messaging;
- Send spam or communications without required consent;
- Violate call-recording or wiretapping laws;
- Infringe intellectual-property or privacy rights;
- Collect sensitive information without authority;
- Upload malware or malicious code;
- Interfere with Website security or operation;
- Bypass rate limits or demonstration limits;
- Conduct automated scraping without authorization;
- Probe or test vulnerabilities without permission;
- Reverse engineer or copy Vexyr systems;
- Use the services to develop or improve a competing offering;
- Generate illegal, discriminatory, or abusive content;
- Misrepresent AI output as verified professional advice;
- Use an AI assistant for emergency or safety-critical functions without authorization; or
- Attempt to gain unauthorized access to accounts, systems, data, or networks.
Vexyr may investigate suspected misuse and may restrict or terminate access without notice where reasonably necessary to protect Vexyr, customers, third parties, or the public.
